Contract Modification (Contract Modification (Bilateral or Unilateral))

Contract Modification stands for Contract Modification (Bilateral or Unilateral). A contract modification is any written change to a contract. A bilateral modification, also called a supplemental agreement, is signed by both the contractor and the contracting officer. A unilateral modification is signed only by the contracting officer.

Unilateral mods are used for things like change orders, administrative changes and exercising options. Bilateral mods are used for negotiated changes like new prices or added scope.

Why it matters to a small contractor

Only a contracting officer can change your contract. Instructions from a site rep or project manager are not a modification. Get it in writing before you do extra work.

Example

A site manager asks a janitorial crew to add a building. The contractor asks for a bilateral modification, and the contracting officer adds $9,000 per year for the extra space.

Contract Modification: common questions

Can I refuse a unilateral modification?

Generally you must follow it if it is within the contract's changes clause, but you can ask for a price adjustment.

Should I sign a bilateral mod right away?

Read it first. Signing often waives further claims tied to that change.
