JV (Joint Venture)

JV stands for Joint Venture. A joint venture is a partnership of two or more companies that bid and perform a contract together under one name. The JV usually registers in SAM with its own UEI.

For small business set-asides, a JV is generally small if each member is small for the NAICS code, or if it is a JV formed under an approved mentor-protege relationship. In set-aside JVs, the small members must perform at least 40 percent of the work done by the JV.

Why it matters to a small contractor

A JV can help two small firms win something neither could alone, like a big multi-trade facilities job. Get a written JV agreement that covers who does what and how profits split.

Example

A small mechanical contractor and a small electrical contractor form a JV to bid a $3 million facility maintenance set-aside. Each brings past performance the other lacks.

JV: common questions

Is a JV the same as a teaming agreement?

No. A JV is the prime itself. In a teaming agreement, one company primes and the others sub.

Does a JV need its own SAM registration?

Generally yes, it registers as its own entity to receive awards.
